STANDARD CONTRACTS
The
Standard Contracts Library contains PDF-fillable contract templates prepared by the Office of the
General Counsel (OGC) for routine contractual transactions. Each contract includes instructions for its use, links to relevant policies, and a link to the President's Delegations of Authority Library, where you may search to determine who must approve the contract before it may be signed, and who is authorized to sign the contract for your organization.
Business terms--price, period of performance, specifications, etc.--should be entered into the PDF-fillable spaces of the template. No changes are to be made to the terms and conditions, "boilerplate," without OGC approval.
Some contracts have limited access. If access is limited, and you believe it is appropriate for you to have access, submit your request by email to ogccontr@umn.edu.
Revisit the Standard Contracts Library each time a contract is prepared to ensure you have the most current version. OGC will update Standard Contracts on a regular basis.
The President's Delegations of Authority require that certain contracts be reviewed and approved. Some approvals have been delegated to Subject Matter Approvers (SMAs) including Purchasing Services, Real Estate Office, Office of External Sales, Sponsored Projects Administration, and Patents and Technology Marketing. Funding Approval is required if the contract's value requires Board of Regents' approval. Legal Approval is required if the transaction is not made using a Standard Contract or if OGC has not exempted it. Other approvals are required in unique circumstances. For example, certain approvals are required of a vice presidential unit if another vice president's unit initiates the contract.
